Terms of Service

1. Acceptance of Terms

By accessing or using Zekt (the "Service"), provided by CALAWU AB ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Zekt is an workflow orchestration platform that provides:

  • Workflow event & messaging (optional) capability
  • Integration with GitHub repositories and organizations
  • AI-assisted task orchestration and execution
  • Real-time monitoring and analytics
  • Enable collaboration within or across different GitHub boundaries (e.g accounts) using Zekt routing capabilities

The Service is provided on a subscription basis with a base fee (per repository) + with additional billed usage. The Service is offering in-app add-on's (such as but not limited to Analytics) - clearly informing customer of that is a bought add-on which can optionally can be enabled and charged following the same base principal of base fee (per repository) and usage generated costs.

3. User Accounts and Authentication

3.1 Account Creation

To use the Service, you must create an account by authenticating through GitHub OAuth. You agree to provide accurate, current, and complete information during registration.

3.2 GitHub Integration Requirements

By using the Service, you authorize Zekt to:

  • Access your GitHub profile information (username, email, avatar)
  • Read your GitHub repositories (public and private, based on permissions granted)
  • Access your GitHub organizations and their repositories
  • Perform actions on your behalf within repositories you've granted access to
  • Store your GitHub OAuth token securely for continued service access

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. Zekt strongly recommend customers to use multi-factor setups to protect their account information.

4. Permissions and Authorizations

4.1 GitHub Permissions

By connecting your GitHub account, you explicitly grant Zekt permission to:

  • Read Access: View your workflow run / job run
  • Write Access: Create, modify, and manage workflow files in your repositories
  • Webhook Access: Create and manage webhooks for real-time event notifications
  • Action Execution: None

4.2 Data Processing

You authorize us to process your workflow meta-data - so that Zekt becomes alerted when a workflow is run (executed) within your repoistory and optional messages sent by you using zekt-action to Zekt backend services. Further - you authorize us to distribute these workloads (event + optional messages) to target consumers which you have granted access to. Additionally - Zekt will store events & messages (optionally) depending if customer instructs Zekt to store events & messages for a prolonged duration of time - to enable capabilities such as play-back of events and messages, re-generating events and message payloads or analytical purposes.

4.3 AI Processing

You acknowledge that the Service uses artificial intelligence to analyze your workflows, suggest optimizations, and automate tasks. You consent to your data being processed by AI systems for these purposes.

5. Subscription and Payment

5.1 Subscription Plans

Zekt offers multiple subscription tiers with varying features and pricing. Current pricing is available on our website and may be updated with reasonable notice as well as the included features of subscriptions. The basic subscription model - follows a "base fee" + "usage cost" model - which is attributed to the customer of Zekt at the end of the month in a fair and transparent manor.

5.2 Payment Terms

Subscriptions are billed monthly in advance. Payment is processed through Stripe, and you agree to provide accurate payment information. Failure to pay may result in service suspension from the Service side.

5.3 Refunds

Refunds are handled on a case-by-case basis. Contact our support team for refund requests.

5.4 Free Trial

We offer free trial during 1 week period (7 days). At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled.

6. User Obligations

6.1 Acceptable Use

You agree NOT to use the Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Distribute malware, viruses, or malicious code
  • Attempt to gain unauthorized access to other users' accounts or systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for cryptocurrency mining or similar resource-intensive operations
  • Resell or redistribute the Service without authorization

6.2 Content Responsibility

You are solely responsible for all content, code, and data processed through the Service. You warrant that you have all necessary rights and permissions for any content you process or distribute to other legal entities. Zekt strongly urges its customers to NOT distribute sensetive information, such as credentials / API keys or similar using Zekt services as Zekt does not process the sensitivity of payloads sent through Zekt Services.

7. Intellectual Property

7.1 Service Ownership

Zekt and its original content, features, and functionality are owned by CALAWU AB and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 User Content

You retain all rights to your content. By using the Service, you grant us a limited license to use, store, and process your content solely for the purpose of providing the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

8. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Service Availability

9.1 Uptime

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control such as outage from one of our integration vendors or services.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALAWU AB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code that may be transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

11. Indemnification

You agree to indemnify, defend, and hold harmless CALAWU AB, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 By You

You may terminate your account at any time through the Account Settings page. Upon termination, all your data will be permanently deleted from our systems.

12.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your account shows suspicious or fraudulent activity
  • You fail to pay subscription fees
  • We discontinue the Service

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will delete your data within 30 days unless legally required to retain it.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.

13.2 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with Swedish arbitration rules.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CALAWU AB regarding the Service and supersede all prior agreements and understandings.
